Terms of service
1. Definitions
1.1 “we”, “us”, “our” means CSP Distribution Pty Ltd (ABN 53 623 658 337) trading as Look Up Gear.
1.2 “customer” means any person or entity purchasing goods from Look Up Gear.
1.3 “goods” means products supplied by Look Up Gear.
1.4 “conditions” means these Terms & Conditions.
1.5 “trade account” means a customer account approved by us that may include credit terms, pricing arrangements, or portal access.
1.6 “GST” has the meaning given in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
2. Application of These Conditions
2.1 These Terms apply to all purchases unless otherwise agreed in writing.
2.2 By placing an order or using our website or trade portal, the customer agrees to these Terms.
2.3 Where a customer has an approved trade account, these Terms apply together with any separately agreed trade terms.
2.4 If there is any inconsistency, the agreed trade account terms will take precedence.
3. Governing Law
3.1 These Terms are governed by the laws of Western Australia, Australia.
4. Pricing
4.1 All prices are in AUD and include GST unless stated otherwise.
4.2 Prices may change at any time without notice.
4.3 Shipping costs are calculated at checkout unless otherwise agreed for trade customers.
5. Payment
5.1 Retail customers must pay in full at the time of purchase.
5.2 Approved trade account customers may be offered credit terms, which will be confirmed in writing.
5.3 Trade account holders must pay invoices in accordance with agreed terms.
5.4 We reserve the right to:
- suspend supply
- revoke credit terms
- require prepayment
if payment terms are not met.
6. Orders
6.1 We reserve the right to accept or reject any order.
6.2 Orders may be cancelled or amended only with our approval.
6.3 If stock is unavailable, we may:
- place items on backorder
- hold the order
- offer a refund or alternative
6.4 Orders containing backordered items may be held and shipped together unless otherwise arranged.
6.5 Special order items are subject to quotation and availability. By submitting an order for a special order item, you are requesting a quote only. We will provide a final product price, applicable shipping costs and estimated delivery timeframe before proceeding.
Special order products will not be ordered from the supplier until payment has been received. Free delivery does not apply to special order items, and applicable shipping costs will be confirmed as part of the quotation.
7. Trade Portal Access
7.1 Approved trade customers may be given access to a dedicated portal.
7.2 The portal may include:
- customised pricing
- order history
- account management tools
7.3 Customers are responsible for maintaining the confidentiality of login details.
7.4 We may suspend or revoke access at any time, including for overdue accounts or misuse.
8. Shipping & Delivery
8.1 Shipping is carried out in accordance with our Shipping Policy.
8.2 Risk in the goods passes to the customer upon dispatch.
8.3 Delivery timeframes are estimates only.
9. Returns & Refunds
9.1 Returns are handled in accordance with our Returns & Refunds Policy and Australian Consumer Law.
9.2 Nothing in these Terms excludes rights under Australian Consumer Law.
10. Product Use & Safety
10.1 Many products are designed for use in high-risk environments.
10.2 The customer is responsible for:
- correct use of products
- ensuring appropriate training
- following manufacturer guidelines
10.3 We are not liable for misuse or improper application.
11. Warranty
11.1 Manufacturer warranties apply where relevant.
11.2 Warranty claims may require inspection and approval by the manufacturer.
11.3 We will assist with warranty claims where possible.
12. Limitation of Liability
12.1 To the extent permitted by law, our liability is limited to:
- replacement
- repair
- refund
12.2 We are not liable for indirect or consequential loss.
13. Force Majeure
13.1 We are not liable for delays or failure caused by events outside our control.
14. Retention of Title (Trade Accounts Only)
14.1 For trade account customers, ownership of goods does not pass until full payment is received.
14.2 We reserve the right to recover goods in the event of non-payment.
15. Trade Accounts
15.1 Trade accounts are offered at our discretion.
15.2 To apply, customers may be required to provide:
- business details
- ABN
- credit references
15.3 We may conduct credit checks where required.
15.4 Trade accounts may include:
- credit terms
- customised pricing
- portal access
15.5 We reserve the right to:
- approve or decline applications
- set and vary credit limits
- withdraw trade terms at any time
15.6 Overdue accounts may result in:
- suspension of supply
- account cancellation
- recovery action including costs
15.7 Where applicable, additional CSP Distribution wholesale terms may apply to trade customers and will be provided separately.
16. Look Up Perks Memberships
16.1 Look Up Perks memberships are available to all customers upon sign up of an account. Customers who sign up for a Look Up Gear account may choose to opt in to email marketing and will automatically be eligible for an ongoing 5% discount applied to their cart at checkout.
16.2 If you opt out of email marketing, you will be removed from Look Up Perks and will no longer receive a 5% discount on future orders. Opting out of Perks will not affect your standard Look Up Gear account.
16.3 We reserve the right to approve or decline requests for memberships for any reason.
16.4 Look Up Perks memberships do not include a line of credit. All orders must be paid in full at time of purchase.
16.5 Look Up Perks memberships may include benefits such as:
- discounts on products and purchases
- exclusive promotions and offers
- loyalty benefits
- early access to products or releases
16.6 Benefits may vary between account types and may be changed, limited, or removed at any time without notice.
16.7 Where loyalty benefits are offered:
- loyalty benefits may be subject to additional program rules published by Look Up Gear
- We reserve the right to modify, suspend, or cancel any rewards or loyalty programs at any time
16.8 Look Up Perks memberships are intended for use only by the approved individual or business and must not be shared, transferred or misused.
16.9 We reserve the right to:
- approve or decline account requests
- suspend or withdraw account or membership access at any time
- remove discounts, pricing access, reward points or other benefits
- cancel accounts where misuse, fraudulent activity, or breach of these Terms is suspected
16.10 Look Up Gear may update or change the structure, eligibility requirements, benefits, or conditions of any Look Up Perks memberships, or loyalty program at any time without liability.
17. Severance
17.1 If any part of these Terms is invalid, the remainder remains in effect.
18. Changes to Terms
18.1 We may update these Terms at any time.
